PROFILE

Jacqueline Henson is Of Counsel in McKenna Long & Aldridge's Washington, DC office. She practices in the areas of general business, transactional, corporate and tax law, and is experienced in issues relating to nonprofit and tax-exempt organizations, lobbying and election law compliance, and Internet and intellectual property matters. She joined the firm in 1989.

A major part of Ms. Henson's practice focuses on the representation of tax-exempt and nonprofit organizations, and she serves as general counsel for several nonprofit trade associations, public charities, churches, private foundations, and social welfare organizations. She has extensive experience in counseling nonprofit clients on the vast array of legal, financial and practical issues that arise in their daily activities. She lectures frequently on matters involving tax-exempt organizations and is a director of the National Center for Nonprofit Law, which is headquartered in Washington, DC, and the Cultural Alliance of Washington. She also has served on the Legal Section Council of the American Society of Association Executives.

Ms. Henson's tax-exempt organization practice also includes the rep-resentation of political organizations such as political action committees. She is a frequent lecturer on lobbying compliance, particularly the federal tax rules governing the lobbying activities of public charities and other tax-exempt entities, the Lobbying Disclosure Act of 1995 and state lobbying rules.

Ms. Henson's general business practice includes the formation and organization of corporations, partnerships, limited liability companies and partnerships, and joint ventures. She advises clients on a wide range of transactions including contract drafting, negotiation and review, and she has extensive experience in matters involving association management software and computer hardware licensing and sales, purchases and sales of businesses (including Internet businesses and sites) and mergers and acquisitions. Ms. Henson also assists clients with trademark, copyright, and intellectual property matters. A large part of Ms. Henson's general business practice involves her representation of a number of emerging and closely-held companies, in which she advises them on choice of entity, organization, equity and debt financings, mergers, acquisitions, and other securities and corporate matters.

Prior to joining McKenna Long & Aldridge, Ms. Henson was associated with the District of Columbia law firm of Dunnells, Duvall, Bennett & Porter where she concentrated on real estate and equipment leasing syndications, private placements of debt and equity securities in compliance with SEC Regulation D and public offerings of limited partnership interests.

Ms. Henson is admitted to practice in the District of Columbia and Maryland. She is also a Certified Public Accountant in the State of Maryland.
